Terms of Service

1. Acceptance of Terms

By accessing or using Deckroom(“the Platform”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform. We reserve the right to update these terms at any time; continued use after changes constitutes acceptance.

2. Eligibility

You must be at least 18 years old to create an account or use paid services on the Platform. By using the Platform, you represent that you meet this requirement.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate, current, and complete information during registration and to update it as needed. Notify us immediately if you suspect unauthorized use of your account.

4. Platform Services

Deckroom provides a fundraising platform connecting startup founders with investors. Core features include:

  • Company profiles and fundraising rounds
  • Pitch-deck sharing with per-viewer view analytics
  • Data rooms for sharing confidential diligence materials
  • Investor deal flow and saved-deal tracking
  • Direct messaging between founders and investors
  • Subscription billing for paid plans

Features may be added, modified, or removed at our discretion.

5. Payments & Subscriptions

Deckroom offers both free and paid plans for founders and investors. Paid plans are billed monthly via Stripe. See /pricing for current rates. Prices are listed in US dollars. Subscriptions renew automatically unless cancelled before the renewal date. Refunds are handled on a case-by-case basis; contact us within 7 days of a charge to request a refund.

6. Acceptable Use

You agree not to:

  • Submit false, misleading, or fraudulent information
  • Impersonate another person, company, or investor
  • Use the Platform for any unlawful purpose
  • Harass, threaten, or abuse other users
  • Scrape, crawl, or use automated tools to extract data from the Platform without our written permission
  • Attempt to gain unauthorized access to any part of the Platform
  • Upload malicious code or interfere with the Platform's operation
  • Share another founder's confidential fundraising materials, including pitch decks or data room contents, without explicit permission

7. Investor Accreditation

Deckroom does not verify investor accreditation status. Investors self-attest to their accreditation when creating an investor profile, and founders should treat these self-attestations accordingly.

Founders are responsible for their own compliance with applicable securities laws, including but not limited to Regulation D and Regulation S under the U.S. Securities Act, and any equivalent laws in their jurisdiction. Deckroom is a technology platform and does not provide legal, tax, or investment advice.

8. Intellectual Property

You retain ownership of the content you submit to the Platform, including your pitch decks, data room documents, profile content, and messages. By submitting content, you grant Deckroom a limited, non-exclusive, worldwide, royalty-free license to store, display, and transmit that content solely as necessary to operate the Platform and deliver the features you have chosen to use (e.g. sharing a deck with a specific investor).

The Platform's design, branding, code, and original content are owned by Deckroom. You may not copy, modify, distribute, or create derivative works from our intellectual property without written permission.

9. Limitation of Liability

The Platform is provided “as is” and “as available” without warranties of any kind, express or implied. We do not guarantee uninterrupted access, the accuracy of user-submitted information, or the outcome of any fundraising, investment, or business arrangement formed on or off the Platform.

To the maximum extent permitted by law, Deckroom shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. Our total liability for any claim shall not exceed the amount you paid to us in the 12 months preceding the claim.

10. Termination

We may suspend or terminate your account at our discretion if you violate these terms or engage in conduct harmful to other users or the Platform. You may delete your account at any time through your profile settings or by contacting us.

11. Governing Law

These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any disputes arising from these terms or your use of the Platform shall be resolved in the state or federal courts located in Delaware.
