1. Acceptance of terms
By accessing or using FundFlow(the “Platform”) you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform. We may update these terms at any time; continued use after changes constitutes acceptance.
2. Eligibility
You must be at least 18 years old and legally able to enter into contracts in your jurisdiction to create an account or use paid services. By using the Platform you represent that you meet these requirements.
3. Description of services
FundFlow is a software platform that helps founders manage their fundraise (pitch deck hosting, data rooms, investor outreach, deal-flow pipeline) and helps investors evaluate and track opportunities. We are a software provider, not a broker-dealer, investment adviser, or placement agent. We do not offer, sell, or solicit securities, and we do not provide investment, legal, or tax advice. Any decision to invest is made between founders and investors directly.
4. Account registration
You agree to provide accurate, current, and complete information during registration, keep your authentication credentials secure, and be responsible for all activity that occurs under your account.
5. Acceptable use
You agree not to:
- Use the Platform for any unlawful purpose or in violation of any applicable law.
- Misrepresent your identity, affiliation, role, or experience.
- Upload or share materials you do not have the right to share.
- Reverse-engineer, scrape, or attempt to extract source code from the Platform.
- Send spam, malware, or other harmful content through the Platform.
- Interfere with or disrupt the Platform, its servers, or its networks.
- Use the Platform to solicit unregistered securities or run schemes intended to defraud investors.
6. Paid subscriptions
Certain features require a paid subscription. Pricing, billing cycles, and refund policy are disclosed at the time of purchase. Payments are processed by Stripe; we do not store full card details. You may cancel at any time via your account settings; cancellations take effect at the end of the current billing period and we do not pro-rate partial periods.
7. Content you submit
You retain ownership of pitch decks, financial models, company information, data-room documents, and other materials you upload (“Your Content”). By submitting Your Content you grant FundFlow a worldwide, non-exclusive, royalty-free license to host, store, process, and display Your Content solely as required to provide the Platform to you and the recipients you authorize.
The Platform itself — software, designs, text, graphics, and other content not submitted by users — is owned by FundFlow or its licensors and protected by copyright, trademark, and other laws.
8. Privacy
Your use of the Platform is also governed by our Privacy Policy at /privacy, which describes what personal data we collect and how we use it.
9. Termination
We may suspend or terminate your access to the Platform at any time, with or without notice, for any reason including violation of these Terms. Upon termination your right to use the Platform ceases immediately. Sections 7, 10, 11, 12, and 13 survive termination.
10. Disclaimers
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not warrant that the Platform will be uninterrupted, error-free, or secure, and we make no representations about the suitability, completeness, or accuracy of any content posted by users.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FUNDFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM. OUR AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD $100.
12. Indemnification
You agree to indemnify and hold harmless FundFlowfrom any claims, damages, or expenses (including reasonable attorneys’ fees) arising from your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.
13. Governing law and disputes
These Terms are governed by the laws of Delaware, USA, without regard to its conflict-of-law provisions. Any dispute arising out of or relating to these Terms or the Platform shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.
